Managing a general meeting (GM) can be complex. Alex supports you at every stage, from preparation to archiving, while meeting French legal requirements.
Before the general meeting
Document generation: Alex automatically generates notices of meeting, resolutions, draft minutes and attendance sheets.
Sending notices: Shareholders receive their notices directly from the platform. Alex automatically calculates the statutory notice periods (15 days for a SAS, 21 days for a SA, customisable on request).
Proxy management: Shareholders can give proxies online to be represented.
Dedicated shareholder workspace: A secure workspace allows shareholders to review documents, ask questions, vote by correspondence or give a proxy.

During the general meeting

Companies limited by shares (SAS, SA) must comply with precise rules concerning the holding of GMs:
Notice: Shareholders must be given notice within the statutory periods (minimum 15 days before the GM for a SAS, 21 days for a SA).
Documents to be provided: Shareholders must have access to all relevant documents (notices, resolutions, reports) to participate in decisions.
Quorum requirement: A quorum is required to validate resolutions. For example, for a SAS, a quarter of the share capital must be present for an ordinary GM.
Drafting of minutes: At the end of the GM, minutes are drafted and signed by the legal representatives. They must be kept and filed with the relevant authorities within the required timeframes.
